(HFC) Formerly HOLLY CORP until June 28, 2011 merger with Denver-based refiner FRONTIER OIL CORP, formerly WAINOCO OIL, issuing 0.4811 HOC per FTO. Operates five refineries with crude oil processing capacity of 443,000 barrels per day, including Navajo Refinery (Lovington, New Mexico), Woods Cross Refinery (Woods Cross, Utah), Montana Refinery (Great Falls, Montana), and (Tulsa, OK) Refinery acquired June 1, 2009 from Sunoco Inc. (SUN) for $65 million. Transfer to NYSE April 26, 2004. Lawsuit over merger with FRONTIER OIL CORP, which filed suit Aug. 20, 3003 alleging that Holly had breached an agreement signed in March, 2003 to be acquired for $28.21 a share, $11.11 in cash and 1 Frontier share per HOC, plus $172.5 million and assumption of $26 million of HOC debt. Spin-off of Holly Energy Partners (HEP) via IPO July 8, 2004. Incorporated in 1947.
